1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AutoReply ("the App," "we," "us," or "our"), governing your use of the AutoReply iOS application and related services accessible through getautoreply.com.

By downloading, installing, accessing, or using AutoReply, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the App.

2. Eligibility

You must be at least 13 years of age (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use AutoReply. By using the App, you represent and warrant that you meet this age requirement.

If you are under the age of 18 (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Description of Service

AutoReply is an AI-powered reply and content generation assistant for iOS. The App provides the following functionality:

• AI-generated text replies and content for social media platforms including Instagram, X (Twitter), LinkedIn, TikTok, Facebook, YouTube, Snapchat, and Reddit
• AI image generation from text prompts using multiple models
• iOS Share Extension for generating replies directly from other apps
• "Write As Me" personalized writing style training
• Multi-language content generation in 13+ languages
• Multiple tone and platform selection options

The App relies on third-party AI services (including OpenAI and fal.ai) to generate content. The availability, quality, and response time of these services may vary and are subject to their respective providers' terms and operational status.

4. Account Registration and Security

To use AutoReply, you must create an account using one of the following authentication methods:

• Apple Sign-In
• Google Sign-In (OAuth)
• Email and Password

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Promptly update your information if it changes
• Notify us immediately of any unauthorized access to your account
• Not share your account credentials with third parties
• Not create multiple accounts for the purpose of abusing the credit system or free tier

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

5. Subscriptions, Credits, and Purchases

5.1 Free Plan

New users receive 3 lifetime text generations at no cost. Once the free generations are consumed, continued use requires a Pro subscription or extra credit purchase.

5.2 Pro Subscriptions

AutoReply Pro is available as a weekly, monthly, or yearly auto-renewing subscription. Pro subscribers receive 100 daily credits that reset at midnight, along with access to all premium features including Write As Me, AI image generation, all languages, all tones, and watermark removal.

• Subscriptions are managed by RevenueCat and processed by Apple through the App Store
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
• Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel your subscription in your iPhone Settings under Apple ID > Subscriptions
• No refunds are provided for partial subscription periods

5.3 Extra Credit Packs

One-time, non-consumable credit packs are available in the following sizes: 100, 300, 600, and 1,000 credits. Extra credits never expire and remain available in your account until used.

• Text generation costs 1 credit per generation
• Image generation costs vary by model (1 to 10 credits depending on model selected)
• Credits are non-transferable between accounts
• Purchased credits are non-refundable except as required by applicable law

5.4 Pricing and Changes

Prices for subscriptions and credit packs are displayed in the App and are subject to change. Any price changes to existing subscriptions will take effect at the start of the next billing period following notice of the change.

6. Acceptable Use Policy

You agree to use AutoReply in compliance with all applicable laws and regulations. You must not use the App to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Generate content that infringes on the intellectual property rights of any third party
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Generate spam, phishing content, or content designed to deceive or mislead others
• Attempt to circumvent, disable, or interfere with the App's security features, credit system, or usage limitations
• Use automated scripts, bots, or other means to interact with the App outside of its intended user interface
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App
• Exploit the App to overload, damage, or impair our servers or infrastructure
• Resell, redistribute, or sublicense access to the App or its generated content for commercial purposes without authorization

We reserve the right to suspend or terminate your account and revoke access to the App if you violate this Acceptable Use Policy, without prior notice and without refund.

7. AI-Generated Content

7.1 Nature of AI Content

Content generated by AutoReply is produced by artificial intelligence models and may not always be accurate, complete, appropriate, or free from errors. AI-generated content may occasionally produce outputs that are factually incorrect, biased, or nonsensical.

7.2 Your Responsibility

You are solely responsible for reviewing, editing, and determining the suitability of all AI-generated content before using, posting, or sharing it. You assume full responsibility for any consequences arising from your use or distribution of AI-generated content.

7.3 Content Ownership

You retain rights to the original content you input into the App. AI-generated text and images are provided for your personal use. You are granted a non-exclusive, worldwide license to use AI-generated content for lawful purposes, subject to the terms of the underlying AI providers (OpenAI, fal.ai) and applicable platform terms of service where you post the content.

7.4 No Guarantee

We do not guarantee that AI-generated content will be suitable for any particular purpose, will meet your expectations, or will be free from content that may be considered inappropriate or offensive. The quality and style of generated content may vary based on inputs, model availability, and other factors.

8. Third-Party Services

AutoReply integrates with third-party services to provide its functionality, including but not limited to OpenAI, fal.ai, Supabase, RevenueCat, Firebase Cloud Messaging, and various social media platform APIs. Your use of AutoReply is also subject to the terms and policies of these third-party providers.

We are not responsible for the availability, accuracy, or reliability of third-party services. Temporary service interruptions or changes in third-party APIs may affect the App's functionality. We will make reasonable efforts to maintain compatibility but cannot guarantee uninterrupted operation of features dependent on external services.

9. Intellectual Property

The AutoReply App, including its design, code, graphics, logos, user interface, and all related content (excluding user-generated and AI-generated content), is the intellectual property of AutoReply and is protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App on your personal iOS device in accordance with these Terms. This license does not include the right to:

• Copy, modify, or distribute the App or its components
• Create derivative works based on the App
• Use the AutoReply name, logo, or branding without prior written consent

10. Account Termination and Deletion

10.1 Termination by You

You may stop using AutoReply at any time. To permanently delete your account and all associated data, navigate to Settings in the App and tap "Delete Account." Account deletion is irreversible and will result in the permanent removal of your profile, credit balance, transaction history, and all associated data from our servers.

Active subscriptions are not automatically cancelled upon account deletion. You must cancel your subscription through Apple (iPhone Settings > Apple ID > Subscriptions) before or after deleting your account to avoid continued billing.

10.2 Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or the Acceptable Use Policy
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Requests by law enforcement or government agencies
• Discontinuation of the App or any part of the Service

10.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. We are not liable for any loss of data, credits, or subscription time resulting from account termination. Sections of these Terms that by their nature should survive termination (including but not limited to liability limitations, indemnification, and dispute resolution) shall survive.

11. Disclaimers

AUTOREPLY IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT
• WARRANTIES REGARDING THE AVAILABILITY OR PERFORMANCE OF THIRD-PARTY SERVICES

Your use of the App is at your sole risk. No advice or information, whether oral or written, obtained from AutoReply shall create any warranty not expressly stated in these Terms.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTOREPLY, ITS DEVELOPERS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Damages arising from the use or inability to use the App
• Damages arising from AI-generated content, including content that is inaccurate, inappropriate, or offensive
• Damages resulting from unauthorized access to your account
• Damages arising from third-party service failures or interruptions

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY DOLLARS (USD $50), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless AutoReply, its developers, affiliates, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the App or any content you generate, post, or share using the App
• Your violation of these Terms or any applicable law or regulation
• Your violation of the rights of any third party
• Any content you input into the App

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide notice through the App or via email.

Your continued use of AutoReply after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the App.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation, it shall be submitted to the competent courts of the applicable jurisdiction.

Notwithstanding the foregoing, nothing in these Terms shall prevent either party from seeking injunctive or equitable relief in any court of competent jurisdiction.

16. General Provisions

16.1 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AutoReply regarding your use of the App, superseding any prior agreements or understandings.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by us.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
